These Terms & Conditions (“Terms”) govern your access to and use of VinAudit websites, software, data, products, plans, and related Services (collectively, the “Services”). By using the Services or indicating consent electronically (e.g., clicking “I Agree”), you accept these Terms; if you do not agree, do not use the Services. These Terms constitute the entire agreement regarding the Services. Additional or third-party terms may apply to specific features or integrations. If any provision is found invalid or unenforceable, the remainder continues in full effect, and a failure to enforce any provision is not a waiver. 1. Description of Services

VinAudit provides vehicle data and reporting solutions for consumers, dealers, and commercial users. Vehicle history reports may include title, brand, salvage, insurance, or other records, sourced from public and private databases. VinAudit may modify, suspend, or discontinue any Service at any time without liability. Certain features may not be available in all jurisdictions or languages.

2. System Requirements

Access to the Services requires compatible devices, internet connectivity, and may require specific software. Performance depends on third-party infrastructure outside VinAudit’s control. You are responsible for meeting system requirements and charges for mobile, data, or internet services incurred in connection with your use of the Services.

3. User Accounts

To access certain Services, you must register for a VinAudit account (“Member Account”). You are responsible for all activities under your account, for safeguarding your credentials, and for providing accurate and current registration details. Unauthorized sharing, sublicensing, resale, or transfer of Member Accounts is prohibited. Consumer accounts are licensed to a single natural person and may not be used by multiple individuals. Accounts may be suspended or terminated for breach of these Terms or payment delinquency.

4. Right to Access and Use Vehicle History Reports

You are hereby granted a limited, revocable, non-exclusive and non-transferable license to access and use the Vehicle History Reports (“Reports”) generated by VinAudit solely for your own use, including providing a printed copy of a Report to parties directly involved in a vehicle transaction concerning the vehicle identified in the Report.

You may not modify, publish, transmit, display, participate in the transfer or sale, assign, rent, transfer, act as a service bureau, sublicense or otherwise grant rights in the Report to any other person or entity or in any way exploit any of the Reports or any content therein, in whole or in part. Except as otherwise expressly permitted under these Terms and Conditions or copyright law, no reselling, copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without the express written permission of VinAudit.

5. Plan and Billing Terms

VinAudit provides access to vehicle history reports through two purchase options: (a) One-Time Purchase and (b) Subscription Plans. Reports are delivered digitally upon payment and appear in your member dashboard.

One-Time Purchase A one-time purchase is a single vehicle history report paid at checkout. All fees are non-refundable once a report is delivered.

Subscription Plan A Subscription plan includes (a) a recurring monthly subscription fee and (b) per-report usage fees. The subscription fee is charged on the subscription start date and automatically renews each month until canceled. Per-report usage fees accrue during each monthly cycle and are charged (i) on the next subscription billing date or (ii) mid-cycle if the accrued per-report usage fees exceed the billing threshold.

For example, if your billing threshold is $50.00 (50 reports), you will be billed mid-cycle once your accrued per-report fees exceed that amount, and your balance of per-report fees will reset to $0.00.

Failed Payments If a charge to your payment method is declined or cannot be processed, your account is immediately suspended and you will not be able to run additional reports. VinAudit may automatically retry the charge; you must promptly update your payment method and pay all amounts due to restore access. Past-due amounts may accrue a late fee of 1.5% per month or the maximum rate permitted by law. If amounts remain unpaid, VinAudit may terminate your subscription. Suspension or termination does not relieve you of responsibility for all accrued fees.

Cancellation You may cancel your subscription at any time through the cancellation form. All fees paid are non-refundable. Upon cancellation, access continues through the end of the current billing cycle, and any outstanding per-report balance must be settled.

Fraud and Abuse VinAudit reserves the right to monitor account activity and may suspend or terminate accounts that show signs of fraudulent, abusive, or suspicious use. This includes, but is not limited to, misuse of payment methods, unusual or excessive usage, or attempts to circumvent geographic or account restrictions.

Changes VinAudit may update subscription fees or terms by providing at least thirty (30) days’ prior notice. If you do not agree to the updated fees or terms, you may cancel your subscription before the changes take effect. Continued use of the service after the effective date of the change will constitute your acceptance of the updated fees or terms.

6. Content and Conduct

You are solely responsible for any content you submit or use. Prohibited conduct includes posting unlawful or infringing material, impersonation, disruption, unauthorized access, or fraudulent practices. VinAudit may remove or block content at its discretion.

7. Intellectual Property

The Services—including all software, data, reports, interfaces, documentation, and trademarks—are owned by VinAudit or its licensors and are protected by law. Except for rights expressly granted in these Terms, no license or other rights are conveyed. You may not copy, modify, translate, adapt, reverse engineer, decompile, disassemble, create derivative works of, remove proprietary notices from, or use VinAudit names, logos, or trademarks without prior written permission.

8. User Consent

By submitting content, you grant VinAudit a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process your content only as necessary to operate, maintain, secure, back up, and support the Services for you.

9. Termination of Services

VinAudit may suspend or terminate access for breach, delinquency, or legal/regulatory reasons. Suspension or termination does not relieve you of obligations to pay accrued or outstanding fees, including per-report usage fees incurred prior to the effective date of suspension or termination.

10. Compliance with Laws

You must comply with all applicable federal, state, local, and international laws and regulations when using the Services, including but not limited to privacy laws, consumer protection regulations, and vehicle data use restrictions. You may not use the Services for any unlawful purpose or in any manner that violates applicable law. VinAudit reserves the right to suspend or terminate access for suspected legal violations.

11. Enforcement

VinAudit may enforce compliance, cooperate with authorities, and disclose account information where reasonably necessary.

12. Third-Party Materials

The Services may include third-party content or links. VinAudit does not control or warrant such materials and is not liable for their use.

13. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” to the fullest extent permitted by law, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. VinAudit does not guarantee that the Services or reports will be accurate, complete, error-free, uninterrupted, secure, or available at any particular time.

14. Limitation of Liability

To the maximum extent permitted by law, VinAudit will not be liable for any indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenues, data, or goodwill. VinAudit’s total liability for any claim related to the Services will not exceed $100. These limits apply regardless of legal theory and even if VinAudit has been advised of the possibility of such damage. If any part of this section is not allowed by law, the rest still applies.

15. Waiver and Indemnity

You agree to indemnify and hold harmless VinAudit and its affiliates from claims or losses arising from your breach, misuse, or VinAudit’s enforcement actions.

16. Changes

VinAudit may update these Terms or add new conditions at any time. Continued use after notice constitutes acceptance.

17. Notices

VinAudit may provide notices by email to your registered email address. Notices sent by email are deemed received when transmitted to your registered email address. You are responsible for keeping your contact information current.

18. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved in the courts of Delaware.

19. VinAudit Report Disclaimer

The information used to compile this report is aggregated from various government agencies, non-profit organizations, and industry sources. Access to the National Motor Vehicle Title Information System (“NMVTIS”) is facilitated through VinAudit.com Inc., an Approved NMVTIS Data Provider. Sections of this report containing data from NMVTIS are labeled with “Source: NMVTIS”. No vehicle registration records are provided by NMVTIS. The accuracy and reliability of the information supplied depend primarily on the reporting sources, and all entities involved in compiling this report accept no liability for any errors or omissions. All warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are hereby disclaimed.

20. NMVTIS Consumer Access Disclaimer

The National Motor Vehicle Title Information System (NMVTIS) is an electronic system that contains information on certain automobiles titled in the United States. NMVTIS is intended to serve as a reliable source of title and brand history for automobiles, but it does not contain detailed information regarding a vehicle’s repair history.

All states, insurance companies, and junk and salvage yards are required by federal law to regularly report information to NMVTIS. However, NMVTIS does not contain information on all motor vehicles in the United States because some states are not yet providing their vehicle data to the system. Currently, the data provided to NMVTIS by states is provided in a variety of time frames; while some states report and update NMVTIS data in “real-time” (as title transactions occur), other states send updates less frequently, such as once every 24 hours or within a period of days.

Information on previous significant vehicle damage may not be included in the system if the vehicle was never determined by an insurance company (or other appropriate entity) to be a “total loss” or branded by a state titling agency. Conversely, an insurance carrier may be required to report a “total loss” even if the vehicle’s titling state has not determined the vehicle to be “salvage” or “junk.”

A vehicle history report is NOT a substitute for an independent vehicle inspection. Before making a decision to purchase a vehicle, consumers are strongly encouraged to also obtain an independent vehicle inspection to ensure the vehicle does not have hidden damage. The Approved NMVTIS Data Providers (look for the NMVTIS logo) can include vehicle condition data from sources other than NMVTIS.

NMVTIS data INCLUDES (as available by those entities required to report to the System):

  • Information from participating state motor vehicle titling agencies.
  • Information on automobiles, buses, trucks, motorcycles, recreational vehicles, motor homes, and tractors. NMVTIS may not currently include commercial vehicles if those vehicles are not included in a state’s primary database for title records (in some states those vehicles are managed by a separate state agency), although these records may be added later.
  • Information on “brands” applied to vehicles provided by participating state motor vehicle titling agencies. Brand types and definitions vary by state but may provide useful information about the condition or prior use of the vehicle.
  • Most recent odometer reading in the state’s title record.
  • Information from insurance companies and auto recyclers, including junk and salvage yards, that is required by law to be reported to the system beginning March 31, 2009. This information will include if the vehicle was determined to be a “total loss” by an insurance carrier.
  • Information from junk and salvage yards receiving a “cash for clunker” vehicle traded-in under the Consumer Assistance to Recycle and Save Act of 2009 (CARS) Program.

Consumers are advised to visit www.vehiclehistory.gov for details on how to interpret the information in the system and understand the meaning of various labels applied to vehicles by the participating state motor vehicle titling agencies.
